This Referral Program Agreement, in combination with other Agreements relating to your use of Prerender, is made between you and SAAS.GROUP INC. T/A PRERENDER (“we,” “our”, “us”) and governs your participation in the Refer & Earn Referral Program (the “Referral Program”). For purposes of this Referral Program Agreement, references to Company include any Users authorized to participate in the Referral Program on Company’s behalf. Company shall be fully responsible for the acts or omissions of its Users. By requesting or sending a Referral Link (defined below), you acknowledge that you have read, understood, and agreed to this Agreement.
The Privacy & Terms of Service, as amended from time to time, are incorporated into and forms part of this Referral Program Agreement and shall apply to your participation in the Referral Program. In the event of any inconsistency between any of the provisions of the Privacy & Terms of Service and this Referral Program Agreement, this Referral Program Agreement will control. Any capitalized terms that are not defined in this Referral Program Agreement shall have the meaning provided in the Privacy & Terms of Service. We may modify this Referral Program Agreement by posting an updated version on our website.
In order to participate in the Refer & Earn Referral Program, you must (1) be a Prerender Paying Customer in good standing; and (2) ensure that all Users distributing Referral Links are natural persons of at least 18 years of age or the age of majority in their respective jurisdiction, whichever is older.
Prerender will provide you with a unique URL that can be provided to prospective Prerender customers (the “Referral Link”). Referred customers must be businesses or individuals engaging in commercial activity for the sale of goods and/or services. Referral Bonuses will only be awarded for Qualifying Referrals. A “Qualifying Referral” must meet all of the following conditions:
The Referral Link must be provided directly to your Users’ personal acquaintances or to other potential customers with their explicit consent. Any distribution of the Referral Link beyond these parameters is strictly prohibited and may result in immediate termination of your participation in the Referral Program. Additionally, you and your Users may not use any paid advertisement to promote the Referral Program, including but not limited to, paid search marketing, advertisements, affiliate networks, paid email campaigns or other similar methods. You may not use a Referral Link to create a new Prerender Account for Company, its affiliated entities, or yourself. By participating in the Referral Program, you represent and warrant that (i) each of your Users has a personal relationship with his/her referral or otherwise has the necessary consents to submit their information to the Referral Program; and (ii) each of your Users will comply with all applicable Prerender policies and terms, and any and all applicable laws or regulations.
Subject to your compliance with this Agreement, you will be eligible to earn a Referral Bonus for each qualified referral that you refer. The Referral Bonus changes from time to time and will be set forth on the relevant promotion page (e.g., credit). The Referral Bonus is set to the value displayed on the relevant promotion page at the time the Referral Link is sent to the prospective customer.
You will be notified of whether a referred customer who has used your Referral Link has applied for a Prerender Account and upgraded to a Prerender paid plan (“Qualifying Referral”). You will receive a Referral Bonus when a Qualifying Referral is made and you will receive a notification in your Dashboard showing your Referral Bonus, if the Qualifying Referral Bonus criteria are met. Please allow eight (8) weeks to receive the Referral Bonus. Your use of the Referral Bonus may be governed by additional or third-party terms and conditions. Please note that the Referral Bonus may be issued to you or one of your authorized Users. Your Referral Bonus may expire if you do not accept it on your Dashboard within [insert] months of award.
Any information obtained in connection with the Referral Program will be collected, processed and used in accordance with Prerender’s Privacy Policy.
Prerender is the exclusive owner of all intellectual property rights, including but not limited to copyrights, patents, trade secrets, trademarks, and any other proprietary rights, in and to the Referral Link, the Services, the related technology, the Prerender Data, and all other materials or content provided by Prerender to you for the purposes of fulfilling your obligations under this Referral Program Agreement (collectively, the “Prerender Property“).
Subject to these terms and conditions, Prerender hereby grants to the Company a limited, non-exclusive, non-sublicensable, revocable, and non-transferable license to use the Prerender Property solely for the purpose of providing information to potential customers regarding the Prerender Services under the Referral Program. This license is granted for the sole purpose of enabling the Company to promote and facilitate the referral of new customers to Prerender as contemplated by the Referral Program, and for no other purpose whatsoever. This license is effective for the duration of the Referral Program Agreement and shall automatically terminate upon the expiration or earlier termination of this Agreement. The Company acknowledges that all use of the Prerender Property shall be in accordance with the terms of this Agreement and any guidelines provided by Prerender, and that any unauthorized use of the Prerender Property is strictly prohibited.
All rights not expressly granted to you in this Referral Program Agreement a reserved by Prerender. Prerender grants you a limited, nonexclusive, revocable, and nontransferable license to use the Prerender Property solely for the purposes of this Referral Program Agreement. You shall not use, reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the Prerender Property, except as expressly permitted by this Referral Program Agreement.
You acknowledge that the Referral Bonus may be considered taxable income. You are solely responsible for all tax obligations due to your participation in the Referral Program. Prerender has no obligation to track, report, or pay any taxes on your behalf, unless otherwise required by law.
Prerender reserves the right to withhold, deny or cancel any Referrals Bonus and/or terminate your Prerender Account if we, in our sole discretion, deems the award of any Referral Bonus as fraudulent, abusive, unethical, suspicious or otherwise inconsistent with these Referral Program Terms, the Platform Agreement or any other applicable laws or regulations.
Prerender reserves the right to suspend or terminate the Referral Program at any time or to change this Referral Program Agreement at any time and for any reason in our sole discretion upon Notice to you or by deactivation of the Referral Link. Your eligibility for the Referral Program and the eligibility of any referrals is determined in the sole discretion of Prerender.
This Referral Program Agreement and the Privacy Terms of Service constitutes the entire understanding between Company and Prerender for the subject matter described and no other agreements, representations, or warranties other than those provided in this Referral Program Agreement and the Privacy Terms of Service will be binding unless in writing and signed by you and Prerender.
This Referral Program Agreement and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the State of Nevada, United States. Each party irrevocably agrees that the courts of the State of Nevada shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with this Referral Program Agreement or its subject matter or formation (including non-contractual disputes or claims).
